Terms and Conditions of Consignment or Sale
1. Definitions
- 1.1 "Consignor" or “you” refers to the individual or entity submitting Items to us for consignment.
- 1.2 "Style Vault" ("we," "our," "us") refers to Style Vault Pty Ltd ACN 660 545 228.
- 1.3 "Items or Item" means the luxury goods accepted by us for lease or sale.
- 1.4 "Leasing Income" refers to the percentage of the rental price payable by us to you.
- 1.5 "Sale Proceeds" refers to the portion of the sale price payable by us to you.
- 1.6 “Agreement” means the consignee's acceptance of these terms and conditions and the information provided by Style Vault.
- 1.7 “Value” means the value that we assign to the Item upon our initial assessment.
- 1.8 “Site Credit” means non-transferable credit allocated to the Consignor’s Style Vault account each month as part of their individual consignment membership offer.
- 1.9 “Bonus Credit” means additional credit provided by Style Vault, subject to specific terms and conditions.
- 1.10 “Custom Offer” refers to the tailored agreement made between Style Vault and the Consignor regarding Leasing Income, Site Credit, Bonus Credit, and additional benefits based on the Item submitted.Style Vault offers a subscription-based membership program that provides members with access to luxury accessories for rent or purchase using site credit. Membership includes exclusive benefits such as monthly store credit, discounts on rentals and purchases, and complimentary shipping depending on the membership tier.
2. Acceptable Items
2.1 Items that meet our quality standards, including being authentic items which are likely to be sold or rented to our clientele and are presented in a satisfactory condition. Accepting items is at our sole discretion, as many factors contribute to our decision making.
2.2 If Style Vault rejects an item, we will communicate this to you and you can either collect it, have us return it to you at your expense (being $15.95 or other price as notified from time to time) or request we recycle it. Any rejected items that are not collected within 21 days or where no arrangements are made for its return to you within 21 days will be considered abandoned by you and we may deal with the item at our discretion.
3. Consignment Process
3.1 To submit an Item for consideration of consignment, you must:
- (a) Register for a customer account on our website, providing the necessary personal information.
- (b) Complete the consignment application form with details of the specific Items you wish to consign;
- (c) Accept the terms of this Agreement.
Once we receive your documents we will contact you further if we wish to review your Item. We will then provide you with appropriate packaging for shipping the Item to us at our cost. Upon receipt of the Item, we will conduct an assessment to confirm each Item’s condition, eligibility for sale or rental and provide you with our estimate for its Value, its Sale Price and our Leasing Income offer. If you wish to proceed, you notify us via email service@stylevault.com.au. We will then list the Item for rental or sale on our website. You may log into your account at any time to track the status of your submitted Items.
Upon acceptance of your Item, a Custom Offer will be provided to you, which may include a monthly Site Credit for use on rentals or purchases, calculated based on the Item’s Value and Style Vault’s assessment. Acceptance of the Custom Offer is required prior to the Item being listed.
4. Ownership
4.1 All Items submitted remain the property of the Consignor until sold or unless ownership is transferred to us in accordance with the terms of this Agreement.
5. Repairs and Cleaning
5.1 If an Item requires repairs or extensive cleaning before it can be listed, you will bear these costs, which will be disclosed to you prior to processing.
5.2 Style Vault will cover the costs of ongoing maintenance and cleaning while the Item is in our custody.
5.3 All Items may incur general wear and tear from use, for which Style Vault will not be held liable.
6. Leasing Income
6.1 Items will generate a Leasing Income, paid monthly to you, subject to a deduction for agreed costs. The exact percentage calculation and costs will be confirmed at the time of the offer and are hereby read into this agreement. This Leasing Income will be detailed in your Custom Offer and is paid in addition to any Site Credit allocation.
7. Sale Terms
7.1 If you ask us to sell one of your Items and we successfully do so, you will receive the following Sale Proceeds: Items between $250 - $1000 you earn 82% of sale proceeds, less any outstanding costs. Items between $1000 - $4,000 you earn 84% of sale proceeds, less any outstanding costs.
8. Borrowing from us
8.1 You may borrow back your Item at no cost or borrow another Item from our collection of equal or lesser value for a period of 4–8 days, subject to availability and the terms outlined in your Custom Offer. For longer durations, a quote will be provided. The cost of postage for one return shipment per month is complimentary.
8.2 Site Credit expires monthly and does not roll over. All Site Credit and Bonus Credit will be forfeited if the Item is no longer listed for consignment with us.
9. Liability and Insurance
9.1 In the event an Item is lost, damaged beyond repair or stolen while in our possession, we will reimburse you the lower range of the Item’s agreed Value.
9.2 In the event an Item is lost, damaged beyond repair or stolen while outside of our possession (including in transit or in the possession of a Customer), we will endeavour to recoup the purchase price or market value of the item on your behalf.
9.3 Exclusions to our liability include circumstances beyond our control, such as force majeure events including natural disasters, delays in transportation or shipping, strikes, pandemics, illegal activity and social disturbance.
10. Payments
10.1 Payments for leased or sold Items will be made monthly, minus any outstanding costs related to shipping, cleaning, or insurance.
10.2 Any Site Credit or Bonus Credit does not constitute a cash payment and is not transferable, refundable, or redeemable for cash. The availability and amount of Site Credit and Bonus Credit will be specified in your Custom Offer.
11. Sale or Return
11.1 You will be notified via email of any Items listed for rental or Sale that have not been rented or sold within 60 days. Those Items will be either:
- 11.1.1 Returned to you at your expense, being $15.95 or other price as notified from time to time, or
- 11.1.2 Listed for sale for a price at our sole discretion, since many factors will contribute to our decision making.
11.2 Any returnable items that are not collected within 21 days or where no arrangements are made for their return to you within 21 days will be considered abandoned by you and we may deal with the item at our discretion.
12. Term
12.1 The minimum term for this consignment agreement is two (2) months from the date the Item is listed. After this period, either party may terminate the agreement with 30 days' written notice. Site Credit will only be allocated for the duration the Item is active in our inventory. Once an Item is removed, all unused credits are forfeited.
13. Shipping Costs
13.1 Upon making a suitable application to us, we will send you the appropriate packaging to cover the initial shipping cost of receiving the Item from you.
13.2 If the Item is deemed to be inauthentic or not in a suitable condition for rental or sale, or if you refuse to cover the costs of repairs or cleaning, the Item will be returned to you at your expense, being $15.95 or other price as notified from time to time.
13.3 Any Items that need to be returned to you upon the expiry of the agreed term or cancellation of this agreement will be at your expense, being $15.95 or other price as notified from time to time.
13.4 If you do not collect the item or pay us the return shipping cost within 21 days of us notifying you of that amount, you will forfeit the Item to us and we may recycle it at our sole discretion.
14. Warranties and Indemnities
14.1 You hereby warrant that you are the sole owner of each Item submitted, possess clear title to each Item, and that all descriptions provided are accurate, honest and complete.
14.2 You hereby indemnify and hold harmless Style Vault from any and all claims, loss, liability, expense or damage and any associated costs (including legal costs on a full indemnity basis and mercantile agent’s commission) arising from any breach of warranty or of the Agreement by you.
15. Dispute Resolution
15.1 In the event of a dispute, either party must provide written notice detailing the nature of the dispute and the desired resolution.
15.2 The parties will make a good faith effort to resolve the dispute through negotiation within 5 business days before commencing any litigation.
16. Governing Law
16.1 This Agreement shall be governed and construed according to the laws of New South Wales, Australia. The parties submit to the jurisdiction of the courts and tribunals of that state in respect of all matters or things arising out of this Agreement.
17. Bonus Credits
17.1 Bonus Credits may be offered from time to time as part of a promotional incentive or membership program, subject to additional or alternative terms provided at the time of issue. These are not guaranteed and are offered at the sole discretion of Style Vault.
18. Acknowledgment and further warranties
18.1 Style Vault and the Consignor warrant and accept that this Agreement and the information inputted into our Consignment Agreement constitutes the entire understanding between Style Vault and the Consignor and supersedes any other oral or earlier agreement or arrangement between the parties.
18.2 The Consignor acknowledges and warrants that it:
- 18.2.1 has full capacity, power and authority to enter into this Agreement and can perform, or cause to be performed, its obligations set out in this Agreement;
- 18.2.2 has relied on its own inquiries in entering into this Agreement;
- 18.2.3 enters into this Agreement fully and freely after considering the terms and conditions of it of their own free will and volition.
19. Severability
19.1 If at any time any one or more of the provisions of this Agreement is or becomes invalid, illegal or unenforceable for any reason, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired.
20. Interpretation
20.1 Headings do not affect the interpretation of this Agreement, and specific provisions do not limit the interpretation of general provisions.
20.2 Any reference to amounts made by Style Vault while communicating with the Consignor are amounts in Australian dollars and amounts inclusive of GST unless expressed to be otherwise.
